Glaser Weil to Sponsor LA Tax Night 2025, Badyal to Speak on Structuring Tax-Efficient Rollovers

Glaser Weil is proud to sponsor LA Tax Night 2025, co-hosted by the Los Angeles County Bar Association in collaboration with CalCPA, the Chinese American CPA Association, the Asian Pacific CPA Association and the Beverly Hills Bar Association. The program will be held on January 22, 2025, at The Westin in Downtown Los Angeles.

This year’s event will feature engaging programming, including presentations by a former IRS Commissioner, a former IRS Chief Counsel and other prominent local tax professionals, including Glaser Weil’s Tax Partner Aman Badyal.

Badyal will present a program titled “Rollovers Can Be Taxing: Structuring Tax-Efficient Rollover Equity in S Corporation Sales.” Designed for CPAs and other tax professionals, this session will provide actionable strategies and technical insights to enhance tax planning for S corporations in mergers and acquisitions, particularly in sales to private equity.

It will cover:

• A high-level overview of common structures, including 338(h)(10) elections and “F” reorganizations.
• A more complex and lesser-known structure involving installment notes.
• How sellers can (or cannot) receive rollover equity in the different structures.
